Goodwill.

Goodwill is the premium a company pays to acquire another above the fair value of its net assets.

Definition

It sits on the balance sheet as an intangible asset and represents things like brand and customer relationships. If the acquisition underperforms, goodwill may be written down, hurting reported profit.

Worked example

Paying Rs. 12 billion for a company with Rs. 9 billion of net assets creates Rs. 3 billion of goodwill.
